So you are drafting a contract: what to look for and how?

Contract drafting and execution are two crucial aspects for In-House Counsel’s day-to-day work. Notwithstanding the value, size, terms, and complexity of your business transaction, drafting a proper contract shall not be a template-based exercise. Discussion includes:

    1. Negotiating contracts: provisions that can reduce risk. e.g. no waiver, termination, limitations, amendment, and
    2. Dispute resolution clause: a provision intended to mitigate, prevent, and/or remedy potential or incurred loss arising out of or in connection with the contract performance

Now your contracts are signed: what to do and to watch out for next?

After the signing, In-House Counsel is tasked to monitor the performance of the contract. As an intermediary (and often a right-hand) to the C-suite, In-House Counsel is responsible for updates and progress of the transaction.

Discussion includes:

  1. Changes and variations to the contract,
  2. Contractual fulfillment and any issues that emerge out of the projects/transactions.

Are you seeing signs of dispute: how to manage and handle these?

You see that dispute is imminent and as an In-House Counsel, you often dwell as to whether you would like to pursue dispute resolution through court litigation or other alternative dispute resolution mechanisms such as arbitration. Discussion includes:

  1. Procedural and risk management steps of handling dispute,
  2. Why and how arbitration is the most preferred dispute resolution mechanism to suit business needs and how ICC arbitration is a neutral and efficient means of resolving disputes.
